CORPORATE LAW AND M&A
Our core practice is advising and representing clients in the wide range from day-to-day corporate and commercial matters to complex corporate and commercial transactions. We advised different foreign investors in relation to their acquisition or sale of local companies from across all industries, including telecommunication, food production, pharmaceutical, waste management, cable TV broadcasting, etc. Our services included complete transactional support, including legal due diligence and drafting of transactional documents.
BANKING AND FINANCE
With experience acting as legal counsel of leading international commercial and development banks and finance institutions, we advise clients on general banking, finance, project financing and acquisition finance, debt restructurings and re-financings, loan sales, structured finance and derivatives, distressed debt, insolvency, capital markets and financial regulation. We advised several banks and debt recovery and investment companies in relation to different projects on the sales of the portfolio of NPLs and repossessed real estate.
REAL ESTATE AND CONSTRUCTION
We guided corporate clients in development of major real estate projects in Bosnia and Herzegovina (incl. construction of the one of the largest shopping malls, constructed in Banja Luka). We advise investors, developers and commercial banks on the acquisition of real estate via asset and share deals, including project financing; the development of real estate, from permits, to building contracts to lease contracts; sale and lease back.
ENERGY AND INFRASTRUCTURE
We have valuable knowledge and experience in advising on energy and infrastructure projects. Our major projects include advising global manufacturer of the wind turbines, regarding its business entrance on the market of Bosnia and Herzegovina. Also, we guided international financial institution on project financing of the construction of the combined heat and power plant to replace the coal-fired plant in Zenica (Federation of Bosnia and Herzegovina).
DISPUTE RESOLUTION
We represent clients in commercial, administrative and civil disputes and enforcement proceedings. Our major cases include representation of leading CEE banking group in the procedure of collection of its claim before the competent court in Sarajevo, as well as leading telecom operator, as defendant, in several high-value cases, before the competent court in Banja Luka. Before the Bosnian courts we represented IT companies, pharmaceutical companies, waste management companies, etc.
EMPLOYMENT
We advise clients on all aspects of labour law, from the beginning through to the end of the employment relationship. We guided many companies (as employers) on employment related matters. We assisted clients with employment related matters in the course of mergers and acquisitions, transfer of management and employees, conclusion and termination of employment and management agreements, negotiation and drafting of the managements' "golden parachutes" clauses, employment disputes and related negotiations with employees and their representatives.
COMPETITION AND ANTITRUST
We advise clients in merger control and anti-trust matters. We assist businesses in connection with mergers, acquisitions and joint ventures. We represent clients from across all industries in proceedings before the Bosnian competition authority.
INTELLECTUAL PROPERTY
As licensed trademark attorneys, we advise and represent clients in trademark, design, copyright and unfair competition matters. We represent clients in the processes of trademark registrations before Bosnian intellectual property authority.
